Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of the Stratum website, map application, data, and exports (collectively, the "Service"), operated by Marble Hill Analytics LLC, a New York limited liability company ("Stratum," "we," "us").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of a brokerage or other organization, you represent that you have authority to bind that organization.

2. What Stratum Is

Stratum aggregates residential property listing information from publicly available sources and enriches it with spatial data derived from analysis of listing floorplans using our proprietary computer-vision model. Enriched data includes estimated square footage, room-area distribution, window counts, and window-exposure metrics.

The Service is offered in two forms:

• Demo access — a free, publicly available sample map built from a historical snapshot of listing data, provided for illustration only.
• Subscription access — a paid subscription providing access to the current data feed, updated on a periodic basis, and to export functionality.

3. Data Accuracy (continued)

Listing information — including addresses, unit numbers, rents, bedroom and bathroom counts, and building details — is aggregated from third-party public sources. We do not originate this information, do not warrant its accuracy or completeness, and do not control whether it remains current. Listings may be stale, withdrawn, duplicated, or misreported at the source.

Demo data is expressly historical. The free demo reflects a point-in-time snapshot retained for illustration and does not represent the current market. Do not use demo data for any live business purpose.

4. No Professional Advice or Agency Relationship

Stratum is a software and data tool. It does not provide real estate brokerage, appraisal, legal, tax, investment, or financial advice, and no such relationship is created by your use of the Service. We are not your agent, broker, appraiser, or fiduciary.

You are responsible for complying with all laws and professional obligations that apply to you, including licensing requirements, fair housing and anti-discrimination laws, advertising rules, and the policies of your brokerage, MLS, or professional association. You may not use the Service in any manner that discriminates against, or has the effect of discriminating against, any person on the basis of a protected characteristic.

5. Accounts, Subscriptions & Billing

Subscription access is licensed per individual user. Credentials are personal to you and may not be shared, transferred, or used by more than one person. You are responsible for all activity under your account and for keeping your credentials secure.

Subscription fees, billing frequency, and any promotional or founding-member rates are as presented at the time of purchase. Unless stated otherwise: fees are billed in advance, subscriptions renew automatically until cancelled, and you may cancel at any time effective at the end of the current billing period. Fees already paid are non-refundable except where required by law. We may change pricing on notice, effective at your next renewal.

Where a free trial is offered, we may require a payment method, and the subscription will convert to paid at the end of the trial unless cancelled beforehand.

6. Acceptable Use

You may use the Service, and data you export from it, for your own internal real estate business purposes. You may share individual exported comparable sets with your own clients in the ordinary course of that business, provided estimated values remain clearly labeled as estimates.

You may not:

• Scrape, crawl, harvest, or use automated means to extract data from the Service
• Resell, sublicense, redistribute, publish, or commercially exploit the data or any substantial portion of it
• Build, train, or improve any competing product, dataset, or model using the Service or its outputs
• Reverse engineer, decompile, or attempt to derive the structure or logic of our models
• Share credentials or provide access to anyone outside your licensed seats
• Circumvent access controls, rate limits, or usage restrictions
• Remove, obscure, or alter attribution, disclaimers, or "estimated" labels on any data
• Use the Service unlawfully, or in a way that could damage, disable, or impair it

We may suspend or terminate access immediately for any violation.

7. Intellectual Property

Our property. The Service — including our computer-vision models, the derived spatial data they produce, the compiled database, the software, the interface, and the Stratum name and branding — is owned by Marble Hill Analytics LLC and protected by intellectual property law. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service. No other rights are granted.

Third-party property. Property listing content, photographs, and floorplan images displayed through the Service remain the property of their respective owners. They are presented for reference and identification in connection with the corresponding listing. We claim no ownership of such content, and your license from us does not extend to it.

Feedback. If you send us suggestions, we may use them without restriction or obligation to you.

8. Copyright Concerns

We respect intellectual property rights. If you believe content displayed through the Service infringes a copyright you own or represent, contact us at the address below with the specific material at issue (a direct link is most helpful) and your relationship to the work.

We review these requests promptly and will remove or disable access to material where appropriate.

9. Availability & Changes

We do not guarantee that the Service will be uninterrupted, error-free, or available at any particular time. We may modify, suspend, add, or discontinue any part of the Service, including data coverage, update frequency, and features, at any time. We may impose reasonable usage limits.

10. Disclaimer of Warranties

THE SERVICE AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY AS TO THE ACCURACY, RELIABILITY, COMPLETENESS, OR CURRENCY OF ANY DATA, ESTIMATE, OR CALCULATION PROVIDED THROUGH THE SERVICE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MARBLE HILL ANALYTICS LLC AND ITS MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST COMMISSIONS, LOST BUSINESS OPPORTUNITIES, LOST DATA, OR DAMAGES ARISING FROM PRICING, VALUATION, OR OTHER BUSINESS DECISIONS MADE IN RELIANCE ON THE SERVICE — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you. Nothing here limits liability that cannot be limited by law.

12. Indemnification

You agree to indemnify and hold harmless Marble Hill Analytics LLC from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, your violation of any law or third-party right, or your reliance on or presentation of data obtained through the Service.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, for violation of these Terms or for any other reason. Upon termination, your license ends immediately and you must stop using the Service. Sections 3, 4, 7, 10, 11, 12, and 14 survive termination.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. You agree that any dispute will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction there.

Any claim must be brought within one (1) year after it arises, or it is permanently barred.

15. General

These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.

We may update these Terms from time to time. Material changes will be posted with a revised "Last updated" date, and continued use after they take effect constitutes acceptance.
